Terms & Conditions

Last updated: June 3, 2025

These Terms & Conditions (“Terms”) are a binding agreement between BlueHouse Capital LLC (“Let’s Roll, we, us, our”) and you, the person or entity (“you, your”) who accesses or uses the Let’s Roll website, progressive-web app, mobile previews, or any related services (collectively, the “Service”). By visiting, registering for an account, listing a gym, purchasing gear, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Service.

1. Eligibility & Account Registration

You must be at least 13 years old (or the age of digital consent in your country) and capable of forming a legally binding contract. When you create an account, you agree to provide accurate information, keep your credentials secure, and promptly update any changes. You are responsible for all activity that occurs under your login.

2. Subscriptions & Payments

Gyms may purchase tiered listings (Basic, Bronze, Silver, Gold) via Stripe checkout. All fees are stated in U.S. dollars, billed in advance, and non-refundable except as required by law. Unless you cancel before the end of the current term, your subscription auto-renews for the same period at the then-current price. You may upgrade or downgrade tiers in the Owner Dashboard; changes take effect immediately, and prorated credits (if any) are applied to your next bill.

3. Your Content

“User Content” includes gym profiles, photos, reviews, training logs, and any other material you upload or post. You grant Let’s Roll a worldwide, non-exclusive, royalty-free license to host, display, and distribute that content solely to operate and improve the Service. You represent that you own or have the necessary rights to post the content and that it does not infringe or violate any law or third-party right.

4. Prohibited Conduct

You agree not to (a) scrape, reverse-engineer, or interfere with the Service; (b) upload malicious code; (c) post deceptive, defamatory, or unlawful content; (d) impersonate others; (e) attempt to bypass subscription limits; or (f) use the Service for anything other than legitimate Jiu-Jitsu or gear-related purposes. We may suspend or terminate accounts that violate these rules.

5. Intellectual Property

The Service, including code, design, logos, and custom map pins, is protected by U.S. and international IP laws. Except for the limited license above, we retain all rights, title, and interest. You may not copy, modify, or create derivative works without our prior written consent.

6. Third-Party Services

Let’s Roll integrates with Firebase (hosting, auth, database), OpenLayers (maps), Stripe (payments), and Printful (merch fulfillment). Your use of those services may be subject to their separate terms, and we are not responsible for their actions or omissions.

7. Disclaimers

The Service is provided “as is” and “as available.” To the fullest extent allowed by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee continuous or error-free operation, that listings are accurate, or that training at a listed gym is safe; always exercise due diligence.

8. Limitation of Liability

To the maximum extent permitted, Let’s Roll and its officers, directors, employees, or affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill arising from or related to your use of the Service—even if advised of the possibility. Our aggregate liability will not exceed the greater of (a) $100 or (b) the amount you paid Let’s Roll in the 12 months preceding the claim.

9. Indemnification

You agree to defend, indemnify, and hold harmless Let’s Roll from any claims, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of your Content, your breach of these Terms, or your misuse of the Service.

10. Termination

You may stop using the Service at any time. We may suspend or terminate the Service or your account (with or without notice) if you violate these Terms or if we believe your behavior poses risk to us, other users, or third parties. Sections 3–10 survive termination.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California, excluding conflict-of-law rules. Any dispute that we cannot resolve informally will be settled by binding arbitration in San Diego County under the JAMS Streamlined Rules. You waive any right to participate in class actions. Either party may seek injunctive relief in a court of competent jurisdiction for IP or data-security breaches.

12. Changes to Terms

We may update these Terms from time to time. If we make material changes, we’ll notify you by email or in-app banner at least 7 days before the new Terms take effect. Continued use after the effective date constitutes acceptance.
